1. Scope of Services

Johnson Softwares provides custom software engineering, cloud architecture consulting, database setups, and workflow automation. Every engagement begins with an NDA and a Scoping Blueprint defining deliverables, project budgets, and timelines.

2. Execution & Sprints

We deploy code iteratively using agile methodology. Clients receive access to private staging URLs and code check-ins. Sprints require approval of milestones before proceeding to deployment.

3. Payments, Milestone Scoping & Invoicing

Estimates are provided on a clear milestone basis. Turnkey single-tenant deployments are structured into Milestone 1 (50% Kickoff Advance) and Milestone 2 (Remaining 50% Balance due upon 72-hour staging sandbox walkthrough and production domain DNS cutover).

4. Strict Non-Refundable Commercial Policy

All setup fees, advance kickoff deposits (50%), and recurring retainer fees are strictly 100% NON-REFUNDABLE under any circumstances. Because Johnson Softwares allocates dedicated senior engineering hours, provisions private single-tenant cloud VPS instances, and performs immediate custom API integrations upon receipt of payment, no cancellations, chargebacks, or refunds will be granted. If a client unilaterally terminates or abandons onboarding after kickoff, all remitted payments are permanently retained as liquidated damages for committed developer capacity.

5. Mandatory Minimum 3-Month Billing Tenure & Anti-Misuse Policy

To protect proprietary software architecture, prevent scraping bot abuse, and guarantee continuous 99.95% high-availability operational uptime, all turnkey CRM deployments require an unconditional minimum billing tenure of three (3) consecutive calendar months. Early termination before completion of the 90-day lock-in period is strictly prohibited.

6. IP Ownership & Code Handover

Upon full settlement of milestone invoicing and contractual commitments, complete unencumbered ownership of buyer inquiry records, broker contact lists, database exports, and proprietary software deliverables is transferred directly to the client with zero recurring per-seat user taxes.
